Terms and conditions

These general terms and conditions apply to offers, assignments and services from Henderson Makelaardij. Agreements in a signed order or agreement take precedence if they deviate from these conditions.

2. Applicability

These conditions apply to every offer, every assignment and every agreement in which Henderson Makelaardij provides services. Deviations only apply if agreed in writing. The conditions are made available before or upon concluding an agreement and may be saved by the client.

3. Offer and agreement

An offer is without obligation, unless a validity period or other agreement is stated. An agreement is created as soon as the client accepts an offer or assignment in writing or electronically. Obvious errors, typos and obvious pricing errors do not bind Henderson Makelaardij.

4. Execution of the assignment

Henderson Makelaardij carries out the assignment carefully and to the best of its knowledge. This is a best efforts obligation: a sale, purchase, price, lead time or other result cannot be guaranteed. Expert third parties may be engaged for implementation when this is customary or necessary.

5. Obligations of the client

The client provides correct and complete information relevant to the assignment in a timely manner, reports changes immediately and cooperates with reasonable requests. Henderson Makelaardij may assume that the information received is correct, unless it is clear that further investigation is necessary.

6. Rates and additional costs

Rates, brokerage, start-up costs and any third-party costs are stated in the offer or order confirmation. Amounts stated are inclusive or exclusive of VAT as indicated. Costs of, for example, photography, measurements, energy labels, publication, notary, valuation or other third parties are only included if this has been expressly agreed.

7. Invoicing and payment

Invoices must be paid within the term stated on the invoice. In the event of late payment, Henderson Makelaardij may, after an appropriate reminder and to the extent permitted by law, charge statutory interest and reasonable collection costs. Disputing a part does not suspend payment of the undisputed part.

8. Modification, suspension and termination

Changes to the assignment will be confirmed in writing and may have consequences for planning and costs. Both parties can terminate the assignment in accordance with the agreements in the assignment confirmation and the applicable legal rules. Work already carried out and external costs incurred may be charged reasonably.

9. Third Party Information

Data about homes, surfaces, destinations, permits, homeowners' associations, leasehold and other legal or factual circumstances may also come from the client, public registers or third parties. Henderson Makelaardij checks this information within the scope of the assignment, but is not responsible for inaccuracies that could not reasonably be recognized.

10. Liability

Henderson Makelaardij is liable for direct damage resulting from an attributable shortcoming. Liability for indirect damage, such as consequential damage or lost profit, only exists if this follows from mandatory law. Any limitation does not apply in the event of intent or deliberate recklessness and does not affect the rights that a consumer has under the law.

11. Force majeure

If performance is temporarily impossible due to a circumstance beyond the reasonable control of a party, obligations will be suspended for the duration thereof. The parties will discuss an appropriate solution if the situation continues for longer.

12. Intellectual Property

Texts, presentations, photography, designs and other materials remain the property of Henderson Makelaardij or the relevant creator, unless otherwise agreed in writing. Use outside the purpose of the assignment is only permitted with prior permission.

13. Complaints

Report a complaint as quickly as possible and clearly described via info@hendersonmakelaardij.nl. Henderson Makelaardij tries to respond substantively within fourteen days. A complaint does not affect legal rights and payment of undisputed amounts.

14. Privacy

Our policy is on the processing of personal data privacy statement applicable.

15. Governing Law and Disputes

Dutch law applies to the agreement. Parties first try to resolve a dispute through consultation. If this fails, the dispute will be submitted to the competent court according to the law.
